The Erie Lackawanna Railway was formed on March 1, 1968, as a subsidiary of Dereco, the holding company of the Norfolk and Western Railway, which had bought the railroad. On April 1, the assets were transferred as a condition of the proposed but never-consummated merger between the N&W and Chesapeake and Ohio Railway .
The Erie Lackawanna MU Cars were a fleet of electric multiple unit commuter railcars used by the Delaware, Lackawanna and Western Railroad (D&LW) and successor railroads in the state of New Jersey. The D&LW undertook electrification of its Morristown Line and related branches in 1929–1930, and purchased 141 motor cars from Pullman to operate it.

The merger was formally consummated on October 17, 1960. Shoemaker drew much criticism for it, and would even second-guess himself after he had retired from railroading.

The NYS&W also sued the Erie's successor, the Erie Lackawanna Railway (EL), for $1.6 million in unpaid usage of Susquehanna trackage, but they subsequently settled for a $186,315 claim, and the EL agreed to pay a $15,000 yearly fee. A few years before the Erie's 1960 merger with the Delaware, Lackawanna and Western Railroad, the Lake Cities began running into the Hoboken Terminal in Hoboken. Upon the merger, it was routed over the Lackwanna's Poconos main line route in northern New Jersey and northeastern Pennsylvania.
